1. About Seoulike
Seoulike (the "Service") is operated by Carraway & Gatsby Corporation ("Seoulike", "we", "us", "our"), a Delaware corporation with its registered address at 1111B S Governors Ave #54809, Dover, DE 19904, United States. By accessing or using the Service you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Nature of the Service — Personal Shopping
Seoulike is an independent personal shopping and curation service. We help customers in North America discover, request, purchase, and receive authentic Korean products. We are not a manufacturer, brand owner, official distributor, or authorized retailer of the brands, artists, games, idols, characters, publishers, or stores featured on the Service unless explicitly stated in writing.
When you place a request or order, you authorize Seoulike to act as your buying agent and to purchase items on your behalf from third-party Korean sellers using funds you have paid us. Title to goods transfers to you at the moment of third-party purchase; we hold and forward the goods at your direction.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. By using the Service you represent that the information you provide is true and accurate.
4. Requests, Quotes & Orders
- Requests submitted through "Request an Item" are not orders. We will respond with a quote, availability, and an estimated timeline. Quotes are valid for a limited time and may change due to seller pricing, stock, currency fluctuation, or shipping rates.
- An order is formed only when you (a) accept a quote and (b) complete payment. We may decline or cancel any request or order at our sole discretion, including for suspected fraud, sanctions risk, restricted items, or item unavailability.
- Once we have purchased an item from a third-party seller on your behalf, the order is generally non-cancellable.
5. Pricing, Fees & Payment
- Prices are shown in USD unless stated otherwise and may include item cost, service fee, domestic Korean shipping, international shipping, and handling. Customs duties, import taxes, VAT, and brokerage fees in the destination country are your responsibility and are not included in our price unless explicitly stated.
- You authorize us (and our payment processors, including Shopify Payments and Stripe) to charge your selected payment method for the full amount of your order.
- You are responsible for any chargebacks, reversals, or payment disputes. Fraudulent chargebacks may result in account suspension and recovery action.
6. Authenticity & Sourcing
We make commercially reasonable efforts to source items from reputable Korean sellers. We do not guarantee that any item is "official", "limited", "first edition", "signed", "rare", or otherwise of a particular grade beyond what the original seller represents, unless we explicitly certify it in writing. Photographs of curated items are illustrative; minor variation in packaging, inserts, and finish is normal for Korean goods.
7. Restricted & Prohibited Items
We will not purchase or forward items that are illegal to export from Korea or to import into your country, including but not limited to: weapons, controlled substances, hazardous materials, fresh food restricted by customs, counterfeit goods, items infringing third-party intellectual property, or items prohibited by carriers. If a restricted item is identified after payment, we will refund the item cost minus any non-recoverable fees.
8. Shipping, Customs & Risk of Loss
Shipping is handled by independent carriers. Transit times are estimates, not guarantees. Risk of loss passes to you when the carrier accepts the package in Korea. You are the importer of record and are responsible for customs declarations, duties, taxes, and any inspection delays. See our Shipping Policy for details.
9. Returns & Refunds
Because we purchase items on your behalf from third-party Korean sellers, most orders are final sale. Refunds and replacements are available only in the limited circumstances described in our Refund Policy.
10. Intellectual Property
All trademarks, logos, character designs, album art, and brand names referenced on the Service are the property of their respective owners. Their appearance on Seoulike is for identification of items we can source and does not imply endorsement, sponsorship, partnership, or affiliation. The Seoulike name, look-and-feel, original photography, and editorial content are owned by Carraway & Gatsby Corporation and may not be copied without permission.
11. User Submissions
When you submit a request, review, photo, or message, you grant Seoulike a worldwide, royalty-free, non-exclusive license to use that content to operate, market, and improve the Service. You represent that you have the rights to grant this license and that the content does not violate any law or third-party right.
12. Disclaimer of Warranties
THE SERVICE AND ALL ITEMS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SEOULIKE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AUTHENTICITY BEYOND THE SELLER'S REPRESENTATION, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SEOULIKE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE ORDER GIVING RISE TO THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, CUSTOMS SEIZURE, OR CARRIER DELAY.
14. Indemnification
You agree to indemnify and hold harmless Carraway & Gatsby Corporation, its officers, employees, and agents from any claim arising out of (a) your use of the Service, (b) your breach of these Terms, (c) items you instruct us to purchase, or (d) your violation of any law or third-party right, including customs and import regulations in your country.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You and Seoulike each waive any right to a jury trial and to participate in a class action.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.
